Commitment
Participating investors need to be committed to attending weekly sessions. While occasional absences are understood, the value, both individually and for the collective, is derived from active participation.
Investors should be prepared to spend 3-4 hours a week on the program. Depending on your individual approach to reviewing applications or scheduling meetings, this estimate can change. Investors are encouraged to attend every session but it is not mandatory. However, because the Summit is a group experience, you will get more out of the program the more you participate.
Requirements
Investors must qualify as accredited (this is defined by the BC Securities Commission).
Innovation Central Society DBA Northern Innovation Network retains the final decision-making authority as to the participation of any investor in the program.
Investment
Participation in the Northern Angel Summit as an accredited investor is broken down in this way:
Your Investment
$5,000 per share (this remains your money inside the investment corporation). You can only buy one share during the program but can buy additional shares after the winner is selected.
Fund Administration Fee
This $500 per share fee is used used to create and manage the investment corporation into which your investment is pooled. You can invest either as an individual or through your company.
Combined this totals $5,500 paid to the investment corporation setup for this year’s Summit. This is your investment.
Program Fee
$450 is paid to Northern Innovation Network to cover the cost of your participation in the Northern Angel Summit. This helps cover the cost of your training, VIP events, administration, venue rentals, catering for key sessions, training materials etc.
Structure
The timing for a return is similar to any other angel investing return. Most ventures will plan to exit within 5-7 years extending to a range of 13-15 years. If there is an exit, a distribution will occur. If the funds distributed are sufficient, your entire investment will be returned with legal and accounting fees subtracted. Any returns on investment will be split equally among Angels.
The investment fund is an incorporated Special Purpose Vehicle (SPV), with each Angel investor holding shares in proportion to their individual investment.
Deal
Our goal is to equip investors with the skills to negotiate deals typical of angel investors. While we emphasize standard angel investment terms, we also request specific provisions related to publicity and information rights. However, we encourage ventures to arrive prepared with their own term sheets.
The top team will receive the full angel investment capital raised.
